Terms of Service
1. Overview
These Terms of Service ("Terms") are a contract between you and HOA Watch, Inc. ("HOA Watch", "we", "us"), a Delaware corporation. By creating an account, signing in, or submitting content to HOA Watch, you agree to these Terms. If you don't agree, don't use the service.
2. Account terms
- You must be at least 18 years old and able to enter into a binding contract.
- You agree to provide accurate, current information when you create an account, and to keep it updated.
- You are responsible for what happens under your credentials. Treat your password like the key to your HOA's mailbox.
- HOAs are billed entities. Residents who sign up for a resident account do so under their HOA's subscription — residents do not have a separate billing relationship with us.
3. Acceptable use
You agree not to:
- Scrape, harvest, or otherwise extract data from HOA Watch beyond what our API or UI allows.
- Use HOA Watch to harass, threaten, or doxx anyone, including residents and board members.
- Upload content you don't have the right to upload (copyrighted material, other people's private communications, etc.).
- Use the service to violate any law, including federal and state laws governing HOA governance, the Fair Housing Act, or applicable defamation statutes.
- Probe, scan, or test the service's security without our written permission. See our security page for responsible-disclosure contact information.
Board members and residents see different parts of the service. A resident cannot access another HOA's issues, board-only triage views, or any administrative settings. Misuse of a board account to access data you have no business viewing — for instance, an outgoing board member retaining access after their term — is a violation of these Terms.
4. Fees and billing
Paid plans are billed monthly in advance through Stripe. New HOAs receive a 30-day free trial; after the trial, the subscription auto-renews each month at the rate shown on the pricing page at the time you signed up. We may change prices with at least 30 days' notice; if you don't like a new price, cancel before it takes effect. Refunds are at our discretion and are generally not granted for partial months.
5. Cancellation and data retention after cancellation
You can cancel your subscription at any time from the in-app settings. When you cancel, the subscription remains active through the end of the current billing period. After cancellation, your HOA enters a 30-day soft-delete grace period during which any board member can reactivate. After 30 days, a background worker hard-deletes all data associated with the HOA. Stripe retains billing records under its own policy.
6. AI-generated content
HOA Watch uses Azure OpenAI to produce issue summaries, suggested actions, trend insights, and similar outputs. These outputs are advisory, not authoritative. They may be incomplete, occasionally wrong, or out of date. They are not legal, financial, or governance advice. Always confirm what an AI summary says against the original source material before acting on it. Every AI output in the application is visibly marked as such (with our teal "AI" badge or "AI SUMMARY" eyebrow).
7. Intellectual property
You retain all rights to the content you submit (issues, attachments, configuration). You grant HOA Watch a non-exclusive, worldwide license to host, process, and display that content to the extent needed to operate the service for you. We retain all rights to the software, the visual design, and the trademarks that make up HOA Watch.
8. Indemnification
You agree to indemnify and hold HOA Watch and its officers, employees, and contractors harmless from any claim, loss, or expense (including reasonable attorneys' fees) arising out of your use of the service, your content, or your violation of these Terms or any law.
9. Limitation of liability
To the maximum extent permitted by law: HOA Watch is provided "as is" without warranties of any kind, express or implied. We are not liable for indirect, incidental, consequential, special, or punitive damages, or for lost profits, lost data, or lost goodwill. Our total liability for any claim arising out of or relating to the service is capped at the amount you paid us in the 12 months preceding the event that gave rise to the claim, or US $100, whichever is greater.
10. Disputes, arbitration, and governing law
These Terms are governed by the laws of the State of Delaware, without regard to its conflict-of-laws rules. Any dispute that cannot be resolved informally within 30 days must be submitted to binding arbitration administered by JAMS under its Streamlined Arbitration Rules, in the State of Delaware. You and HOA Watch each waive any right to a jury trial and to participate in a class action. If arbitration is unenforceable for any reason, the state and federal courts of New Castle County, Delaware will have exclusive jurisdiction.
11. Changes to these Terms
We may update these Terms from time to time. Material changes will be announced inside the application at least 30 days before they take effect. Your continued use of the service after a change takes effect is your acceptance of the updated Terms.
